1. Who We Are

We are Optimizers, a digital marketing agency based in Dubai, UAE. We provide SEO, performance marketing, social media marketing, web development, and branding and design services to businesses across all seven UAE emirates.

By using our website or hiring our services, you agree to these Terms and Conditions.

2. Our Services

We provide the following digital marketing services to UAE businesses:

SEO:
 Technical SEO, On-Page SEO, Off-Page SEO, Local SEO, E-Commerce SEO, International SEO, Multilingual SEO, Keyword Research, Semantic Content Writing, and AI SEO (AEO / GEO / LLM SEO)

Performance Marketing:
 Social Media Ads, Google Ads, WhatsApp Marketing, Email Marketing

Social Media Marketing:
 Facebook, Instagram, TikTok, Snapchat, YouTube, LinkedIn

Web Development:
 WordPress Development, Shopify Development, Custom Development

Branding & Design:
 Graphic Designing, Content Creation and Reels, Business Branding and Designing, Video Editing

The specific scope, deliverables, timeline, and pricing for your project are agreed upon in your individual service agreement or proposal. These Terms and Conditions apply alongside that agreement.

3. Accepting These Terms

By visiting optimizers.ae, submitting a contact form, requesting a free SEO audit, or signing a service agreement with us, you confirm that you have read and accepted these Terms and Conditions.

If you are accepting these terms on behalf of a business, you confirm that you have the authority to bind that business to these terms.

4. Client Responsibilities

To allow us to deliver our services effectively, you agree to:

  • Provide accurate and complete information about your business, goals, and requirements
  • Respond to our requests for feedback, approvals, and content within agreed timelines
  • Grant us the platform access we need to deliver your service (Google Ads, Meta Business Suite, website backend, etc.)
  • Ensure all content, images, logos, and materials you provide to us are legally owned by you or properly licensed
  • Inform us of any changes to your business that may affect the services we are delivering
  • Pay invoices by the due date stated on each invoice

Delays caused by late client responses, missing approvals, or withheld access may affect delivery timelines. Optimizers is not responsible for delays caused by the client’s failure to meet their responsibilities.

5. Payments and Fees

Service fees:
 All fees are agreed in writing in your service proposal or contract before any work begins. We do not begin work until the agreed payment terms are confirmed.

Retainer services:
 Monthly marketing retainers (SEO, social media management, performance marketing) are billed at the start of each month. Work for that month begins upon receipt of payment.

Project-based services:
 Web development, branding, and design projects are typically structured with a deposit paid before work begins and the balance due upon completion or at agreed milestone stages.

Advertising budgets:
 Ad spend budgets for Google Ads, Meta Ads, TikTok Ads, and other paid campaigns are separate from our management fees. These budgets are paid directly to the relevant advertising platform by the client or invoiced separately as a pass-through cost. Optimizers management fees cover campaign management only, not the ad spend itself.

Late payments:
 Invoices not paid by the due date may result in a pause of active services. We will notify you before pausing any campaign or deliverable.

Currency:
 All fees are quoted and invoiced in UAE Dirhams (AED) unless otherwise agreed in writing.

6. Refund Policy

Monthly retainers:
 We do not offer refunds on monthly retainer fees once the month’s work has begun, since our team allocates time and resources to your account from the start of each billing period.

Project deposits:
 Deposits paid to begin a project (web development, branding, design) are non-refundable once the project has entered the design or development phase, since work and resources have been committed.

Unused project work:
 If you cancel a project before it begins or before any work has been done, we will refund any prepaid fees in full.

Ad spend:
 Ad budgets already spent on advertising platforms (Google, Meta, TikTok, etc.) cannot be refunded by Optimizers, as those funds have been paid directly to the platform. Any refund requests for unspent ad budget must be directed to the relevant platform.

If you believe a charge has been made in error, contact us within 14 days at Contact@optimizers.ae and we will review it promptly.

7. Results and Performance Disclaimer

We are committed to delivering high-quality work and measurable results. However, you should be aware of the following:

SEO: Search engine rankings are determined by Google and other search engines, not by us. While we apply proven SEO strategies, we cannot guarantee specific ranking positions, traffic volumes, or timelines. Rankings can be affected by algorithm updates, competitor activity, and market conditions outside our control.

Paid advertising: Campaign performance depends on many variables including market competition, audience behavior, ad budget, and platform algorithm changes. We manage campaigns to maximize your return on investment but cannot guarantee specific leads, sales, or return figures.

Social media: Organic reach and follower growth depend on platform algorithms, content performance, and audience behavior. We cannot guarantee specific follower counts or engagement numbers.

Web development: We deliver websites and applications to the agreed specification. Post-launch performance depends on factors including hosting, ongoing maintenance, and SEO work.

We always provide honest assessments and realistic expectations. We never guarantee results that we cannot control.

8. Intellectual Property

Your materials:
 Any logos, images, brand assets, content, and materials you provide to us remain your property. By providing them, you confirm you have the right to use them and grant us permission to use them to deliver your services.

Work we create for you:
 Designs, content, code, and creative assets produced by Optimizers as part of your agreed service become your property upon full payment of all outstanding invoices. Until full payment is received, Optimizers retains ownership of all work produced.

Our existing intellectual property:
 Our website content, templates, internal processes, tools, and methodologies remain the property of Optimizers. You may not copy, reproduce, or use these without our written permission.

Third-party assets:
 If your project requires stock images, fonts, plugins, or licensed software, the licensing terms of those assets apply. We will inform you of any third-party licensing requirements before using them in your project.

9. Confidentiality

We treat all client information as confidential. We do not share your business details, strategies, campaign data, or any proprietary information with third parties, except where necessary to deliver your services (such as sharing access with a platform provider) or where required by UAE law.

We ask that you also treat any strategies, pricing, processes, or tools we share with you as confidential to Optimizers.

10. Third-Party Platforms

Many of our services are delivered through third-party platforms including Google, Meta, TikTok, Snapchat, LinkedIn, WhatsApp, WordPress, Shopify, and others. By using our services, you acknowledge that:

  • These platforms have their own terms of service that apply independently
  • We are not responsible for changes these platforms make to their algorithms, policies, ad systems, or features
  • A platform may suspend, restrict, or change a service at any time outside our control
  • You are responsible for ensuring your business complies with the advertising and content policies of each platform we use on your behalf

11. Using Our Website

When using optimizers.ae, you agree to:

  • Use the website only for lawful purposes
  • Not attempt to hack, damage, or disrupt the website or its infrastructure
  • Not use any automated tools to scrape, copy, or extract content from our website without written permission
  • Not submit false or misleading information through any form on our website

We reserve the right to restrict access to our website for anyone who violates these terms.

12. Limitation of Liability

To the fullest extent permitted by UAE law, Optimizers is not liable for:

  • Loss of revenue, profit, or business opportunity resulting from our services or a delay in delivering them
  • Third-party platform decisions such as account suspensions, algorithm changes, or policy updates
  • Errors or inaccuracies in data provided by the client that affect service delivery
  • Any indirect, consequential, or special damages arising from the use of our services or our website

Our total liability to you in any circumstance will not exceed the total amount you paid us in the three months preceding the claim.

13. Termination

By the client:
 You may terminate a monthly retainer by giving 30 days written notice before the next billing date. Work continues and the final invoice is issued for the last active month.

By Optimizers:
 We reserve the right to terminate services with 30 days written notice if a client fails to pay invoices, acts in breach of these terms, or requests work that violates UAE law or platform policies. In cases of serious breach, we may terminate immediately.

On termination:
 Upon termination of services, we will return all access credentials and transfer all completed work product that has been fully paid for. Any outstanding invoices remain due.

14. Governing Law

These Terms and Conditions are governed by the laws of the United Arab Emirates. Any disputes arising from these terms or from our services will be subject to the jurisdiction of the courts of Dubai, UAE.

15. Changes to These Terms

We may update these Terms and Conditions from time to time. When we do, we update the “Last Updated” date at the top of this page. Significant changes will be communicated to active clients by email. Continued use of our services after any update constitutes your acceptance of the revised terms.
